1. Introduction

Welcome to Nack, also known as Nack AI, a mobile application developed and operated by Patn Ltd ("Patn", "we", "us", or "our"). Nack is designed to provide a seamless chat interface that connects users with various Artificial Intelligence (AI) services exposed through APIs. The app offers a range of capabilities, including text-to-image conversion, with plans to expand our offerings to include speech and video features in the future. By using Nack, you have access to a powerful and versatile platform for interacting with AI-driven services, designed to enhance your experience and enable you to explore new possibilities.

2. Acceptance of Terms

By downloading, installing, accessing, or using the Nack mobile application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms") in their entirety. These Terms constitute a legally binding agreement between you, the user ("you" or "user"), and Patn Ltd. If you do not accept these Terms, you must not download, install, access, or use the Nack app. Your continued use of Nack signifies your acceptance of any changes or modifications we may make to these Terms in the future. We reserve the right, at our sole discretion, to update, modify, or replace these Terms at any time. If we make material changes to these Terms, we will notify you either through the app or by other means, such as email. It is your responsibility to review these Terms periodically for updates or changes. Your continued use of Nack following the posting of any changes to the Terms constitutes acceptance of those changes.

3. Changes to the Terms

Patn Ltd reserves the right, at its sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Nack app after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the app and should cease use immediately.

4. Eligibility

To use Nack, you must be at least 13 years of age or older. By accessing or using the Nack app, you affirm that you are at least 13 years old, and you possess the legal right and ability to enter into and abide by these Terms. If you are not 13 years of age or older, you are not permitted to use the Nack app. Certain features of Nack may be subject to additional eligibility requirements or restrictions, such as country or region-specific limitations. It is your responsibility to ensure that you are eligible to use Nack and its features in your country or region. By using Nack, you represent and warrant that you meet any applicable eligibility requirements and that your use of the app complies with all applicable laws and regulations in your jurisdiction. We reserve the right to limit, suspend, or terminate your access to Nack, in whole or in part, if we determine, at our sole discretion, that you have violated any of the eligibility requirements or restrictions outlined in these Terms.

5. Account Registration

To access certain features of Nack, you may be required to create a user account. When creating an account, you must provide accurate and complete information about yourself, and you must keep this information up-to-date as necessary. You may not use another person's account without their express permission. When creating a user account, you will be asked to choose a username and password. Your username must not be offensive, misleading, or infringe upon the rights of others. Your password must be kept confidential and secure, and it is your responsibility to protect and maintain the security of your login credentials. You are solely responsible for all activities that occur under your account, including any actions taken by persons to whom you have granted access to your account. You agree to immediately notify us of any unauthorised use of your account or any other breach of security. We reserve the right to refuse registration or to suspend, terminate, or restrict access to your account, in our sole discretion, if we believe that you have violated any of these Terms or if we suspect fraudulent, abusive, or illegal activity associated with your account.

6. User Conduct

While using Nack, you agree to abide by the following rules of conduct. You are responsible for all activities that occur under your account, and you must ensure that your actions and the actions of any person to whom you have granted access to your account do not violate these rules. You may not engage in any activity that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. You may not use Nack for spamming, phishing, trolling, or any other unauthorised or unsolicited advertising, promotional materials, or other forms of solicitation. You may not impersonate any person or entity, including, but not limited to, Patn Ltd officials, employees, or other Nack users, or falsely state or otherwise misrepresent your affiliation with a person or entity. You may not interfere with or disrupt Nack, its servers, or networks connected to it, or disobey any requirements, procedures, policies, or regulations of networks connected to Nack. You may not upload, post, email, transmit, or otherwise make available any content that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment. You may not use Nack to collect or store personal data about other users without their express consent. You may not engage in any activity that infringes upon the intellectual property rights of others, including copyright, trademark, trade secret, or other proprietary rights. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these rules of conduct, including, without limitation, removing the offending content, suspending, or terminating the account of such violators, and reporting them to the appropriate authorities.

7. Content

In using Nack, you are able to create, share, and post various types of content within the app. However, you must adhere to the following guidelines when creating, sharing, or posting content: User-Generated Content: You are solely responsible for any content that you create, share, or post within the app, including text, images, videos, and any other materials. You represent and warrant that you have the necessary rights and permissions to use, share, or post such content, and that the content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party. Copyrighted Material: You may not use Nack to create, share, or post any copyrighted material without the express permission of the copyright owner or a valid license. This includes, but is not limited to, music, videos, images, text, and other intellectual property. Offensive Content: You may not create, share, or post any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. Rights of Others: You may not create, share, or post any content that violates the rights of others, including, but not limited to, privacy rights, publicity rights, and intellectual property rights. We reserve the right to review, remove, or edit any content that, in our sole discretion, violates these content guidelines or any other provision of these Terms of Use. We also reserve the right to suspend, terminate, or take other appropriate action against users who repeatedly violate these content guidelines or any other provision of these Terms of Use.

8. Intellectual Property Rights

Patn Ltd owns and retains all intellectual property rights related to the Nack app, including, but not limited to, its design, code, graphics, text, images, video, audio, and any other content or materials included within the app. The app and its content are protected by applicable intellectual property laws, including copyright, trademark, and other proprietary rights. By using the Nack app, you acknowledge and agree that you do not acquire any ownership rights in the app or its content. You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any part of the app or its content without the prior written consent of Patn Ltd. Unauthorised use of the app, its content, or any portion thereof may result in severe civil and criminal penalties, and we reserve the right to seek any and all available remedies for such violations, including the right to block access to the app and pursue legal action against those responsible.

9. Termination

Patn Ltd reserves the right, at its sole discretion, to terminate or suspend any user's account and access to the Nack app, without prior notice, for any reason or no reason, including but not limited to the violation of these Terms of Use, failure to pay applicable subscription fees, or any other conduct that we deem to be harmful or inappropriate. Upon termination, your right to use the Nack app will cease immediately, and you must discontinue all use of the app and delete all copies of the app from your devices.

10. Disclaimer of Warranties and Limitation of Liability

The Nack app is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Patn Ltd disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Patn Ltd does not warrant that the app will meet your requirements, be uninterrupted, secure, error-free, or free of viruses or other harmful components. No advice or information, whether oral or written, obtained by you from Patn Ltd or through the Nack app will create any warranty not expressly stated in these Terms of Use. To the fullest extent permitted by applicable law, in no event will Patn Ltd, its affiliates, employees, agents, licensors, or suppliers be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Nack app, any conduct or content of any third party on the app, any content obtained from the app, and unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Indemnification

You agree to defend, indemnify, and hold harmless Patn Ltd, its affiliates, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, or expenses, including, without limitation, reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Nack app, your violation of these Terms of Use, your infringement or misappropriation of any intellectual property rights or other rights of any person or entity, or your violation of any applicable laws, rules, or regulations.

12. Governing Law

These Terms of Use and any disputes or claims arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes or claims arising out of or in connection with these Terms of Use or their subject matter or formation (including non-contractual disputes or claims).
